Intellectual property
MetricHarbor retains all rights to materials, templates, and software artifacts delivered through the service. You receive a limited, non-exclusive license to use deliverables for internal operational planning. You may not resell, sublicense, or publicly republish cohort-level materials without written permission. Trademarks referenced in deliverables remain the property of their respective owners. If you provide proprietary exports, you warrant that sharing them with MetricHarbor does not violate your obligations to third parties. Upon termination, you must cease using licensed materials except where retention is required by applicable law, in which case use must be frozen to compliance purposes only.
Termination
Either party may terminate an engagement for convenience with thirty days written notice unless a statement of work specifies otherwise. MetricHarbor may suspend access immediately if it reasonably believes data misuse, security risk, or abusive conduct is occurring. Termination does not relieve you of payment obligations for work already performed or committed resources scheduled before notice. Sections that by their nature should survive—including confidentiality, limitation of liability, and governing law—remain in effect. If you terminate for cause and MetricHarbor does not cure a material breach within thirty days of written notice, prepaid unused fees for undelivered milestones will be refunded as described in the Refund Policy.
User obligations
You agree to provide accurate export metadata, maintain appropriate internal approvals for data sharing, and designate a primary contact for security notices. You will not attempt to re-identify anonymized peers, probe our systems beyond authorized interfaces, or use outputs to misrepresent performance to regulators or partners. You must keep credentials confidential and notify MetricHarbor promptly of suspected compromise. You are responsible for your downstream use of deliverables, including internal redistribution policies. Where Korean law imposes additional duties on controllers of personal data, you remain responsible for your role in any joint processing arrangements agreed in writing.
Acceptance
By accessing the website, downloading materials, or signing an order form, you accept this User Agreement and any referenced policies. If you are entering on behalf of an organization, you represent that you have authority to bind that organization. MetricHarbor may update these terms; material changes will be posted with a revised effective date. Continued use after the effective date constitutes acceptance unless applicable law requires express consent. If you do not agree, discontinue use and contact us to close any active engagements. Specific orders may include additional terms that prevail over conflicting language in this agreement only where explicitly stated.
Governing law and disputes
This agreement is governed by the laws of the Republic of Korea without regard to conflict-of-law rules that would apply another jurisdiction. Courts in Seoul shall have exclusive jurisdiction, except where mandatory consumer protections grant you rights in your home jurisdiction. Parties will attempt good-faith negotiation for thirty days before initiating formal proceedings. Nothing limits either party’s ability to seek injunctive relief for misuse of confidential materials or security incidents. If a provision is held unenforceable, the remainder remains in effect to the fullest extent permitted.
Limitation of liability
Deliverables are provided for informational and planning purposes. To the maximum extent permitted by law, MetricHarbor is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or reputational harm arising from reliance on benchmarks. Aggregate liability for any claim relating to a twelve-month period is limited to the fees paid for the specific deliverable giving rise to the claim. These limitations do not apply where prohibited by law, including certain consumer rights under the Korean Framework Act on Consumers. You acknowledge that benchmark outputs depend on data quality you supply and anonymized peer contributions outside MetricHarbor’s control.
Service description
MetricHarbor provides operational KPI benchmark reports, library access, and optional advisory sessions. Services may include document delivery, facilitated workshops, and email support as described in each order. MetricHarbor does not provide regulated financial advice, legal counsel, or investment recommendations. Delivery timelines are estimates and may shift when data validation requires additional cycles. Features described on the website illustrate typical offerings; exact scope is defined in your order. MetricHarbor may update methodologies to maintain statistical integrity, provided changes do not materially reduce purchased scope without notice and remedy where required.
